Terms of Service
Version 2026-10-18.3.
1. Who we are
Ordexly is operated by DeepScan Federation LLC, a Washington limited liability company ("we", "us"). Mailing address: DeepScan Federation LLC, 500 Westover Dr #38142, Sanford, NC 27330. Email: hello@ordexly.com. By creating an account, starting a trial or paying, you ("you") agree to these Terms and our Privacy Policy.
2. What Ordexly is
Ordexly is a reminder and calendar tool. It organizes publicly available filing deadlines into calendar feeds and email reminders and links each deadline to the official agency page. We do not file anything for you.
3. Not legal, tax, accounting or financial advice
Nothing in Ordexly is legal, tax, accounting or financial advice. Using Ordexly does not create an attorney-client, accountant-client, fiduciary or any other professional relationship with us.
4. Accuracy of deadlines
We take deadlines from official government websites and check them, but agencies change rules, dates, forms and weekend/holiday handling, sometimes without notice, and a deadline can depend on facts we do not know (such as your filing frequency, fiscal year or formation date). Dates may be incomplete, out of date or wrong. Always verify each deadline with the official agency using the source link provided.
5. Your responsibilities
You are solely responsible for knowing and meeting your own (and your clients') filing and payment obligations, for the business details you enter, and for checking every date with the agency. Calendar sync and email delivery can fail or be delayed; do not rely on Ordexly as your only reminder.
6. Fees, trials, cancellation and refunds
Card required at signup. To start any plan you enter a payment card at Stripe checkout. You can't use the dashboard or calendar until checkout is complete. Plans are billed monthly or yearly through Stripe.
Free trial. New subscriptions include a free trial: 60 days on Firm, 14 days on Owner, Solo and Practice, one trial per firm. Checkout shows your plan, the trial length, the exact date the trial ends and the amount of the first charge (after any founding-member discount). Founding members (limited spots, on the Solo, Firm and Practice plans; not the Owner plan) get 50% off their first 14 paid months on monthly billing, or their first year on yearly billing. Switching to Owner ends your founding 50% discount. If you switch back later, you won't get it again.
Automatic charge when the trial ends. Unless you cancel before the trial ends, your card is charged automatically on the trial end date for the amount shown at checkout, and the subscription then renews automatically every month or year until you cancel.
Reminder email. We email you before the first charge (3 days before; 7 days before on Firm) with the date, the amount and a one-click link to cancel. Stripe may also send its own trial and receipt emails.
Canceling during the trial means no charge. You can cancel the trial in one click in Account or from the reminder email. The subscription ends immediately and you are not charged.
Refunds. 30-day money-back guarantee: if you ask within 30 days of your first payment, we refund it in full. After that you can cancel anytime in Account or the billing portal; access continues to the end of the paid period and there are no partial or prorated refunds.
Unfinished signups. If you confirm your email but don't complete checkout, we keep your account (firm name, email, the plan you picked and when you signed up) so you can finish later, and we may contact you about your signup. Email hello@ordexly.com to have it deleted.
After cancellation you can see your calendar until the paid period ends and download an export during that time. We keep your account data for 90 days so you can resubscribe, then delete it.
7. No warranty
Ordexly is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement, to the fullest extent the law allows.
8. Limitation of liability
To the fullest extent the law allows: (a) we are not liable for missed or late filings or payments, penalties, interest, late fees, loss of good standing, or any indirect, incidental, special, consequential or punitive damages, or lost profits or data; and (b) our total liability for any claim relating to Ordexly is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
9. Indemnification
You will defend, indemnify and hold harmless DeepScan Federation LLC and its members and contractors from claims, losses and costs (including reasonable attorneys' fees) arising from your use of Ordexly, the data you enter, your clients' claims, or your breach of these Terms.
10. Disputes: arbitration and class-action waiver
Any dispute relating to Ordexly will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, rather than in court. You and we waive any right to a jury trial and to bring or join a class, collective or representative action. Either party may instead bring an individual claim in small-claims court if it qualifies. You may opt out of this section by emailing hello@ordexly.com within 30 days of first accepting these Terms.
11. Governing law
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules, and the Federal Arbitration Act.
12. Changes to these Terms
We may update these Terms. If a change is material we will ask you to accept the new version before you keep using Ordexly. If you do not accept, you can cancel under section 6.
